Affiliate Program Terms & Conditions
Agreement:
This Affiliate Program Agreement ("Agreement") is made and entered into by and between Eylar.com, a company incorporated and organized under the laws of the United States of America ("Company") and You, the individual, or entity, applying to join the Eylar.com Affiliate Program ("Affiliate"). To enroll in the affiliate program, you must accept the Terms & conditions. By signing up to become an affiliate of Eylar.com, you are agreeing to be bound by the terms and conditions of this agreement. This agreement is not transferable.
Affiliate Program:
Eylar offers affiliates the opportunity to earn commissions by referring customers to the Company's website, Eylar.com. Affiliates must use the provided affiliate links when referring customers to Eylar.com and may not modify or alter the affiliate links. The Affiliate must provide accurate and complete information in the affiliate application and must comply with all the terms and conditions of this Agreement.
Eligibility:
The Affiliate must be at least 18 years of age and authorized to work in the United States. The Affiliate shall not use the Affiliate Program for any illegal or unauthorized purpose. The Affiliate shall be solely responsible for any taxes, including income, sales, or use taxes, resulting from the Affiliate's participation in the Affiliate Program. Affiliate must fill out the W9 – Request for Taxpayer Identification Number and Certification, prior to approval.
Commission:
The Affiliate will earn a commission on all qualifying sales referred to Eylar.com. The amount of the commission is 10% of the net sales amount (after applicable taxes and discounts have been removed). The commission is paid on a monthly basis. All affiliates receive a commission from orders placed by affiliate referrals.
Conditions of Participation:
The Affiliate shall not engage in any deceptive or misleading advertising or other activities that could damage Eylar's reputation or goodwill. The Affiliate shall not use any trademark, logo, or service mark of Eylar without Eylar's prior written consent. The Affiliate shall not generate traffic to the Eylar.com website by any means that may be deemed by Eylar to be inappropriate or fraudulent (such as spam, click-fraud, etc.). The affiliate will be provided with special promotional material (links, banners, widgets, and coupon codes) to share.
Affiliate program only applies to influencers with social media. Affiliates are prohibited from posting promo codes on coupon websites.
Modifications:
Eylar reserves the right to modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but are not limited to, changes in the scope of available referral fees, fee schedules, payment procedures, and Affiliate Program rules.
Compliance:
Affiliates must comply with all applicable laws and regulations in the jurisdiction in which they operate. Affiliates must not engage in any illegal or unethical activities. Failure to comply will result in the termination of the affiliate’s participation.
Termination:
Eylar reserves the right to terminate this Agreement at any time, with or without cause, upon written notice to the Affiliate. In the event of termination, the Affiliate shall be entitled to any earned commission until the termination date. Termination of an affiliate's participation in the program will result in the forfeiture of all commissions earned but not yet paid. Once the agreement is terminated, you should remove all links to the Eylar website as well as all Eylar trademarks and logos.
Representations and Warranties:
The Affiliate represents and warrants that it has the right to enter into this Agreement and that it shall comply with all applicable laws and regulations in connection with its performance.
Indemnification:
The Affiliate shall defend, indemnify and hold harmless Eylar, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorney's fees and costs, arising out of or in any way connected with the Affiliate's participation in the Affiliate Program.
Miscellaneous:
This Agreement constitutes the entire agreement among the parties with respect to the subject matter hereof. No amendment of this Agreement shall be valid unless in writing and signed by both parties. This Agreement shall be governed by and construed in accordance with the laws of the United States of America. Any dispute arising out of or related to this Agreement shall be submitted to binding arbitration in the United States of America, in accordance with the rules of the American Arbitration Association.
